DADU PLAN LICENSE AGREEMENT
This License Agreement ("Agreement") is entered into between Waldron Designs, LLC, a Washington limited liability company ("Licensor," "we," "us," or "our"), and the purchaser ("Licensee," "you," or "your") of pre-designed Detached Accessory Dwelling Unit plans ("Plans").
By purchasing and downloading the Plans, you agree to be bound by the terms of this Agreement.
1. GRANT OF LICENSE
1.1 Limited License
Licensor grants Licensee a non-exclusive, non-transferable, limited license to use the purchased Plans for the construction of one (1) Detached Accessory Dwelling Unit on one (1) property owned or controlled by Licensee.
1.2 Single-Use Only
This license is valid for one structure on one parcel. If you wish to build the same design on multiple properties or multiple times, you must purchase a separate license for each use.
1.3 Permitted Use
You may use the Plans to:
Obtain building permits for one ADU
Provide copies to contractors, engineers, and consultants involved in your project
Make minor, non-structural modifications necessary for site-specific conditions or local code compliance
1.4 Prohibited Uses
You may NOT:
Resell, redistribute, share, or transfer the Plans to any third party not directly involved in your construction project
Use the Plans for commercial development, speculative building, or any purpose other than constructing one ADU for your own use or rental
Modify the structural design without prior written authorization from Licensor
Remove or alter any copyright notices, credits, or identifying marks on the Plans
Reverse-engineer, reproduce, or create derivative works based on the Plans for use beyond your single licensed project
2. OWNERSHIP AND COPYRIGHT
2.1 Retained Rights
Licensor retains all ownership rights, copyright, and intellectual property rights in and to the Plans. This Agreement grants you only a limited license to use the Plans as specified; it does not transfer ownership or copyright.
2.2 Copyright Notice
All Plans are protected by U.S. copyright law and international treaties. Unauthorized reproduction or distribution may result in civil and criminal penalties.
3. SITE-SPECIFIC REQUIREMENTS
3.1 Buyer Responsibility
You acknowledge and agree that:
The Plans are generic designs intended for typical site conditions in the Pacific Northwest
You are solely responsible for ensuring the Plans comply with all applicable local, state, and federal building codes, zoning regulations, and permit requirements
Site-specific conditions (soil type, topography, setbacks, utilities, environmental factors) may require modifications to the Plans
You must engage licensed professionals (engineers, surveyors, contractors) as required by your jurisdiction
3.2 No Guarantee of Permit Approval
Licensor does not guarantee that the Plans will be approved by your local building department or jurisdiction. Permit approval depends on site-specific factors, local codes, and jurisdictional review processes beyond Licensor's control.
3.3 Site Adaptation Services Available
Licensor offers optional site adaptation and permitting support services for an additional fee. Contact us at hello@waldrondesigns.com for more information.
3.4 Site Feasibility & Service Fees
If Licensee retains Licensor for site adaptation or permitting services, these services are performed in phases. If, during the initial feasibility or zoning review, it is discovered that local jurisdictions or site conditions prohibit the permitting or construction of the structure, the project will be terminated. In this event, the cost of the digital Plans remains non-refundable. Licensee will be billed for all service hours incurred up to the date of discovery, and any remaining, unearned service deposits will be refunded.
4. DISCLAIMERS AND LIMITATIONS OF LIABILITY
4.1 "AS-IS" Provision
The Plans are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:
Warranties of merchantability or fitness for a particular purpose
Warranties that the Plans will meet your specific site requirements
Warranties that the Plans will be approved by your local jurisdiction
4.2 No Liability for Construction
Licensor is not responsible or liable for:
Construction defects, errors, or omissions by contractors, builders, or subcontractors
Cost overruns, delays, or budget issues
Structural failures or performance issues resulting from improper construction, site conditions, or unauthorized modifications
Permit denials, code violations, or compliance issues
Any damages, injuries, or losses arising from the construction or use of the structure built from the Plans
4.3 Limitation of Liability
To the maximum extent permitted by law, Licensor's total liability to you for any claims arising from this Agreement or your use of the Plans shall not exceed the amount you paid for the Plans (i.e., $1,000).
4.4 Indemnification
You agree to indemnify, defend, and hold harmless Licensor, its owners, employees, and agents from any claims, damages, losses, liabilities, or expenses (including attorney fees) arising from:
Your use or misuse of the Plans
Construction of the structure
Violations of this Agreement
Third-party claims related to the structure built from the Plans
5. DIGITAL PRODUCT DELIVERY AND REFUNDS
5.1 Delivery
Upon purchase, you will receive an email with a download link to access the Plans in digital format (PDF). Plans are typically delivered within [24 hours / immediately upon payment confirmation].
5.2 Download Limits
You may download the Plans up to three (3) times within thirty (30) days of purchase. After this period or number of downloads, access to the download link will expire.
5.3 No Refunds
All sales are final. Because the Plans are digital products that are immediately accessible upon purchase, no refunds or exchanges will be provided except in the following circumstances:
The Plans are materially defective (e.g., missing pages, corrupted files, unreadable content)
You are unable to download the Plans due to a technical error on our end
All sales are final upon download
6. MODIFICATIONS AND CUSTOM SERVICES
6.1 Minor Modifications
You may make minor, non-structural modifications to the Plans as necessary for:
Site-specific conditions (e.g., foundation type, grading)
Local code compliance (e.g., window sizes, fire ratings)
Finish and fixture selections
6.2 Structural Modifications
Any structural or layout modifications (e.g., moving walls, changing roof pitch, altering square footage) require prior written authorization from Licensor and may be subject to additional fees.
6.3 Custom Design Services
If you require significant modifications beyond the scope of this license, Licensor offers custom design services at an hourly rate of $245/hour. Contact us to discuss your needs.
7. TERMINATION
7.1 Termination for Breach
Licensor may terminate this license immediately if you breach any term of this Agreement, including unauthorized use, reproduction, or distribution of the Plans.
7.2 Effect of Termination
Upon termination, you must:
Cease all use of the Plans
Destroy or delete all copies of the Plans in your possession
Provide written confirmation of compliance to Licensor
Termination does not entitle you to a refund.
8. GOVERNING LAW AND DISPUTE RESOLUTION
8.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.
8.2 Jurisdiction
Any disputes arising from this Agreement shall be resolved in the state or federal courts located in King County, Washington. You consent to the personal jurisdiction of these courts.
8.3 Dispute Resolution
Before filing any lawsuit, the parties agree to attempt to resolve disputes through good-faith negotiation. If negotiation fails, disputes may be submitted to mediation before proceeding to litigation.
9. GENERAL PROVISIONS
9.1 Entire Agreement
This Agreement constitutes the entire agreement between you and Licensor regarding the Plans and supersedes all prior agreements, representations, or understandings.
9.2 Amendments
Licensor reserves the right to modify this Agreement at any time. Changes will apply to Plans purchased after the effective date of the modification. Continued use of the Plans after modifications constitutes acceptance of the updated terms.
9.3 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
9.4 No Waiver
Failure by Licensor to enforce any provision of this Agreement does not constitute a waiver of that provision or any other provision.
9.5 Assignment
You may not assign or transfer this license or any rights under this Agreement without prior written consent from Licensor.
